Eunoic SAS Terms of Service

4.1 Billing

Subscriptions run for 12 months. One invoice for the year, issued on acceptance. Access starts on acceptance, before payment. Prices are in EUR, or in USD when your billing address is in the United States, unless your proposal states otherwise.

4.2 Fee Changes

We may change our fees with notice before your next billing period. Your continued use after a fee change means you accept the new fees.

4.3 Payment

Payment is due within 30 days of the invoice date unless your proposal specifies otherwise. If an invoice is not paid by its due date, we suspend access from the following day. Access is restored once payment is verified.

If you dispute charges, notify us within sixty (60) days after the invoice date.

4.4 Taxes

Prices exclude VAT and other applicable taxes. You're responsible for all applicable taxes, excluding taxes on our net income.

4.5 Refunds

If you cancel within 30 days of accepting your subscription, we refund the 11 months you have not used. After that window, fees are non-refundable and the subscription runs to the end of its term, except as required by law.

For cancellation within the first 30 days of acceptance, one month remains payable. We credit the other eleven months on the original invoice and refund any payment above one month. The original payment deadline is unchanged.

5.1 Termination

You may cancel through Account → Subscription or by contacting hello@eunoic.com. Within the first 30 days, cancellation takes effect immediately with the refund in 4.5; after that, it takes effect at the end of the current term. We may terminate or suspend your account immediately if you breach these Terms.

5.2 Data After Termination

Upon termination, we'll make your data available for electronic retrieval for thirty (30) days, after which we'll delete it.

5.3 Auto-Renewal

Subscriptions automatically renew for another 12 months unless you cancel before the current term ends. Cancel at least 60 days before the term ends to avoid a fee. Cancellation during the last 60 days costs one month of the agreed annual price (one twelfth). Access ends at the current term end in either case.

6.1 Ownership

You retain ownership of all content you submit to our Services ("Your Content"). You grant us only the limited rights needed to provide the Services to you.

6.2 Limited License to Us

You grant us a license to use Your Content solely to:

• Provide and maintain the Services
• Address technical or security issues
• Provide customer support
• Comply with legal requirements
• As otherwise permitted in writing by you

6.3 Partner and Consultant Use

If you're a consultant using our Services on behalf of clients, you represent that you have authority to act on their behalf. You remain responsible for all usage and charges under your account, and for ensuring your clients comply with these Terms.

8.1 Our Property

Eunoic owns all rights to our Services and related materials. Nothing in these Terms transfers ownership to you.

8.2 Your License

We grant you a limited, non-transferable license to use our Services for your internal business purposes only.

8.3 Restrictions

You may not reverse engineer, modify, or create derivative works based on our Services or use them for the benefit of a third party without our permission.

8.4 Feedback

If you provide feedback about our Services, you grant us the right to use it without restriction or compensation.

10.1 Definition

"Confidential Information" means all non-public information disclosed by either party to the other.

10.2 Protection

Both parties agree to protect each other's Confidential Information with at least the same degree of care used to protect their own confidential information.

10.3 Exclusions

Information that is public, already known to the recipient, independently developed, or rightfully received from a third party is not Confidential Information.

11.1 Service Commitment

We will make reasonable efforts to provide our Services in a professional manner.

11.2 Disclaimer

EXCEPT AS STATED ABOVE, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY. WE DON'T GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY RESULTS WILL BE ACCURATE OR RELIABLE.

14.1 Mutual Acknowledgment

Both parties agree to permit each other to publicly acknowledge their business relationship.

14.2 No Agency

Neither party has authority to bind the other legally.

15.1 Governing Law

These Terms are governed by French law.

15.2 Jurisdiction

All disputes will be resolved exclusively in the courts of Paris, France.

16.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between us regarding the Services.

16.2 Severability

If any part of these Terms is found to be unenforceable, the rest remains in effect.

16.3 No Waiver

Our failure to enforce any right doesn't waive our right to enforce it later.

16.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

Notices to us must be sent to legal@eunoic.com. Notices to you may be sent to your registered email address.
